Ultra vires

Ultra vires refers to the situation where a legal person performs a legal act which does not comply with the objects clause contained in the articles of association A document, drawn up when a Dutch company or legal person is set up, and which regulates the operations of the company and defines its purpose.

According to article 2:7 of the Dutch Civil Code the concerned legal person may declare the legal act void, if the act can be deemed ultra vires and the co-contracting party was aware or should have been aware that the act would be construed as an ultra vires act.
