Qualified majority

Some decisions of Dutch limited companies or other legal persons require a qualified majority of votes. This means that the majority has to meet certain criteria.

For example meeting a (raised) quorum and/or meeting a prescribed increased majority to adopt a resolution, like a majority of at least 2/3 of the votes. A quorum refers to the minimum number of votes required for a valid decision.
