board regulations

Board regulations (or management regulations) is a document in which the principles and arrangements that are to govern all actions taken by the board are laid down. General matters such as the division of tasks and responsibilities as well as the powers of board members are usually included. But also restrictions on management authority, for example in respect to transactions above a certain threshold. 

Furthermore the board regulations can contain procedural provisions regarding the decision making process and what to do in case of a deadlock and a majority cannot be reached. By extension often a dispute settlement clause is included as well. 

In the Netherlands drawing up board regulations is not a requirement for the incorporation of a company but it is advised to do so.
