remuneration

Remuneration refers to the salary of board directors and possible supervisory board members.

Under Dutch law the shareholders’ meeting decides on the remuneration of the board directors, unless another body of the company is appointed to do so.  Sometimes the salary of the board is determined by the supervisory board. In the Netherlands the remuneration policy is exclusive territory of the shareholders’ meeting. If a company under Dutch law is required to install a works council, this council has the right to express it’s point of view on the proposal to adopt the remuneration policy.
